John Wilson Limited (the company) is providing this disclosure statement in accordance with the Securities Markets Act 1988 and the Securities Markets (Investment Advisers and Brokers) Regulations 2007.
The company's sole employee, John Joseph Wilson (JJW), has been a Chartered Accountant in Public Practice for over 30 years.
JJW has passed the examinations for admission to the New Zealand Institute of Chartered Accountants. He is also a Bachelor of Commerce graduate from the University of Auckland.
The company is not a member of any relevant professional bodies, does not carry professional indemnity insurance and does not have dispute resolution facilities.
During the previous five years neither the company nor JJW
(a) has been convicted of an offence under the Securities Markets Act 1988, the Securities Act 1978, or of a crime involving dishonesty;
(b) has been a principal officer of a body corporate that committed an offence referred to in paragraph (a), where the body corporate committed the offence;
(c) has been adjudicated bankrupt;
(d) has been prohibited by an Act or by a court from taking part in the management of a company or business;
(e) has been subject of an adverse finding by a court in any proceeding that has been takenagainst those principal officers in their professional capacity;
(f) has been expelled from, or prohibited from being a member of, a professional body.
In addition, during the previous five years the company has not been placed in statutory management or receivership.
The company, through it's employee, provides independent financial advice only. Investment recommendation relating to a specific investment or organisation will not be given.
Fees are charged solely on the basis of time involved at the current hourly chargeout rate. No commissions are receivable by the company nor JJW. In the unlikely event that commission is received it will be immediately refunded to the client.
